Welcome to Achebe Campus. These Terms of Service ("Terms") govern your access to and use of the Achebe Campus platform, including our website, mobile applications, creator tools, community features, and all associated services (collectively, the "Service"), operated by Achebe Campus ("we," "us," or "our").

By creating an account, accessing, or using the Service in any way, you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a binding legal agreement between you and Achebe Campus. Please read them carefully.

1. Eligibility and Acceptance

1.1 Age Requirement You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using Achebe Campus, you represent and warrant that you meet this requirement. If you are under 18, you may only use the Service with the express involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

1.2 Legal Capacity By accepting these Terms, you represent that you have the legal capacity to enter into a binding contract. If you are accessing the Service on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

1.3 Modifications to Terms We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email, an in-platform notification, or by updating the "Last updated" date at the top of this page. Your continued use of the Service after such notice constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

2. Account Registration and Security

2.1 Account Creation To access most features of the Service, you must register for an account. When creating an account, you agree to:

Provide accurate, current, and complete information
Promptly update your account information to keep it accurate
Choose a strong, unique password and keep it confidential
Accept full responsibility for all activity that occurs under your account
Notify us immediately at support@achebecampus.com if you suspect any unauthorised use of or access to your account

2.2 Account Restrictions You may not:

Create more than one personal account without our express written permission
Share your login credentials with any other person
Transfer your account or any account rights to another person or entity
Impersonate another person or entity when registering or using the Service
Register an account using automated means or under false pretences

2.3 Account Verification We may, at our discretion, require you to verify your identity or account details before granting access to certain features, particularly those related to payments, creator monetisation, or elevated platform permissions.

2.4 Account Responsibility You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Achebe Campus is not liable for any loss or damage arising from your failure to comply with this section.

3. The Service

3.1 Platform Description Achebe Campus is a community-based learning and creator platform that enables creators to build paid or free online communities, publish courses and educational content, host live events, and engage with members. Learners use the platform to discover and join communities, access courses, and connect with creators and peers.

3.2 Platform Role Achebe Campus provides the infrastructure and tools for creators and learners to connect. We are not a party to any agreement between creators and their members, and we are not responsible for the quality, accuracy, safety, or legality of any content posted or sold on the platform by third parties.

3.3 Service Changes We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3.4 Availability We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance, outages, or technical issues may occasionally affect access.

4. User Content

4.1 Your Ownership You retain full ownership of all content you create, upload, post, transmit, or otherwise make available through the Service ("User Content"), including but not limited to course materials, community posts, comments, videos, images, documents, and profile information. Achebe Campus does not claim ownership over your User Content.

4.2 Licence to Achebe Campus By submitting User Content to the Service, you grant Achebe Campus a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, cache, reproduce, display, distribute, transmit, adapt, and otherwise use your User Content solely to the extent necessary to operate, provide, maintain, and improve the Service. This licence does not grant us the right to sell your content to third parties or use it for purposes unrelated to the operation of the platform.

This licence terminates when you delete your User Content or close your account, except:

Where your content has been shared with or accessed by others who have not deleted it
Where retention is required by law or for legitimate business purposes (e.g. transaction records, legal disputes)

4.3 Your Representations By posting User Content, you represent and warrant that:

You own or have all necessary rights, licences, consents, and permissions to submit the content and grant the licence above
Your content does not and will not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or any other rights of any third party
Your content complies with these Terms and all applicable laws and regulations
Your content does not contain any material that is false, defamatory, obscene, harmful, discriminatory, or otherwise objectionable

4.4 Content Removal We reserve the right to remove or disable access to any User Content at our sole discretion, without notice, if we believe it violates these Terms or is otherwise harmful to the Service or its users. We are not obligated to monitor User Content.

5. Creator Terms

5.1 Creator Responsibilities Creators are responsible for all content they publish and all communities they operate on the platform. As a creator, you agree to:

Deliver the products, courses, or community access you advertise to paying members
Maintain accurate and truthful descriptions of your offerings
Respond to reasonable member inquiries in a timely manner
Comply with all applicable consumer protection, advertising, and tax laws in your jurisdiction

5.2 Content Standards All content published on Achebe Campus must meet our community standards. Creators must not publish content that:

Promotes illegal activity or harmful behaviour
Is discriminatory, hateful, or threatening toward any individual or group
Contains adult or sexually explicit material unless expressly permitted under a separate written agreement
Infringes on the intellectual property rights of any third party
Constitutes spam, misleading claims, or fraudulent representations

5.3 Creator Independence Creators operate on Achebe Campus as independent operators, not as employees, agents, or partners of Achebe Campus. Achebe Campus does not endorse, verify, or take responsibility for the accuracy or quality of creator content.

5.4 Community Management Creators are responsible for moderating their own communities in accordance with these Terms and any additional community guidelines they establish. Achebe Campus reserves the right to step in and enforce our platform-wide policies if a creator fails to adequately moderate their community.

6. Payments, Fees, and Billing

6.1 Creator Subscription Plans Creators may subscribe to paid Achebe Campus plans to unlock premium platform features. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are displayed in the currency applicable to your region and are inclusive or exclusive of applicable taxes as indicated at checkout.

6.2 Platform Fees on Transactions When learners purchase access to a creator's community, course, or other paid product, Achebe Campus charges a platform fee on each transaction. The applicable fee rate is disclosed on our Pricing page and may vary by plan tier. By using the platform to sell, creators agree to the fee structure in effect at the time of each transaction.

6.3 Payment Processing All payments are processed by our third-party payment partners. By making or accepting payments on the platform, you agree to the terms and conditions of the relevant payment processor. Achebe Campus is not responsible for errors, delays, or failures arising from the payment processor's systems.

6.4 Payouts to Creators Earnings from community and course sales, minus applicable platform fees and payment processing charges, are paid out to creators according to the payout schedule set out in your creator account dashboard. We reserve the right to withhold payouts pending identity verification, investigation of suspicious activity, or dispute resolution.

6.5 Taxes You are solely responsible for determining and fulfilling all tax obligations arising from your use of the platform, including income tax, VAT, GST, or any other applicable taxes. Achebe Campus may issue tax-related documentation (such as 1099 forms in the US) where required by law, but this does not constitute tax advice. We recommend consulting a qualified tax professional.

6.6 Price Changes We reserve the right to change our subscription plan prices at any time. We will provide at least 30 days' advance notice of any price increase to existing subscribers, and the new price will take effect at your next billing renewal following that notice.

6.7 Refund Policy — Platform Subscriptions You may cancel your Achebe Campus subscription at any time. Upon cancellation, your access will continue until the end of your current billing period. We do not provide prorated refunds for unused portions of a billing period unless required by applicable law.

6.8 Refund Policy — Creator Products Refund policies for individual community memberships, courses, or other creator products are set and managed by the creator. Achebe Campus is not responsible for issuing refunds on behalf of creators. If you are unable to obtain a refund from a creator and believe fraud or a material misrepresentation has occurred, please contact us at support@achebecampus.com and we will review the matter in accordance with our Dispute Resolution process.

6.9 Disputes and Chargebacks If you dispute a charge through your bank or payment provider without first contacting us, we reserve the right to suspend your account pending investigation. Fraudulent chargebacks may result in permanent account termination and recovery of costs.

7. Acceptable Use Policy

You agree not to use the Service, directly or indirectly, to:

7.1 Illegal Activity

Violate any applicable local, national, or international law or regulation
Engage in, facilitate, or promote any illegal activity, including but not limited to fraud, money laundering, or unlicensed financial services

7.2 Harmful Content

Post, transmit, or distribute content that is abusive, harassing, threatening, defamatory, obscene, hateful, or discriminatory
Publish content that promotes self-harm, eating disorders, suicide, or dangerous activities
Share graphic or explicit material without appropriate authorisation

7.3 Intellectual Property Violations

Infringe upon the copyright, trademark, patent, trade secret, or other intellectual property rights of Achebe Campus or any third party
Upload or distribute content you do not have the right to share

7.4 Platform Integrity

Attempt to gain unauthorised access to any part of the Service, other user accounts, or our technical systems
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
Introduce malware, viruses, Trojan horses, worms, or any other harmful software
Conduct denial-of-service attacks or otherwise interfere with the normal operation of the Service
Use automated scripts, bots, scrapers, or crawlers to collect data from the Service without our express written consent
Circumvent or attempt to circumvent any technical measures we use to enforce these Terms

7.5 Misuse of the Platform

Create fake accounts, impersonate any person or entity, or misrepresent your affiliation with any person or organisation
Use the Service to send unsolicited bulk messages (spam) or engage in any form of deceptive marketing
Manipulate reviews, ratings, or community metrics through artificial means
Use the platform for multi-level marketing, pyramid schemes, or other predatory business practices

7.6 Enforcement We reserve the right to investigate any suspected violation of this Acceptable Use Policy and to take appropriate action, which may include removing content, issuing warnings, suspending or permanently terminating accounts, and reporting activity to law enforcement authorities. We are not obligated to provide advance notice before taking action.

8. Intellectual Property

8.1 Achebe Campus IP The Service, including its design, code, features, functionality, branding, and underlying technology, is the exclusive property of Achebe Campus and is protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership of Achebe Campus's intellectual property to you.

8.2 Trademarks "Achebe Campus," our logo, and all related product names, service names, slogans, and designs are trademarks or service marks of Achebe Campus. You may not use any of our marks without our prior written permission, except to accurately identify our Service (e.g. in a factual reference or review).

8.3 Feedback If you provide us with feedback, suggestions, ideas, or other input about the Service ("Feedback"), you grant us an irrevocable, perpetual, royalty-free, worldwide licence to use, reproduce, and incorporate that Feedback into the Service without any obligation to you. We are under no duty to act on any Feedback you provide.

8.4 Copyright Infringement (DMCA) If you believe that any content on the Service infringes your copyright, please send a notice to support@achebecampus.com containing:

Identification of the copyrighted work you claim has been infringed
Identification of the infringing material and its location on the platform
Your contact information
A statement that you have a good faith belief that the use is not authorised
A statement that the information in the notice is accurate, under penalty of perjury
Your physical or electronic signature

We will respond to valid notices in accordance with applicable law and our repeat infringer policy.

9. Third-Party Services and Links

9.1 Third-Party Integrations The Service may integrate with or link to third-party websites, services, or applications (such as payment processors, video hosting providers, or analytics tools). These third-party services are governed by their own terms and privacy policies. Achebe Campus is not responsible for the content, practices, or policies of any third party.

9.2 No Endorsement The inclusion of any third-party link or integration does not constitute an endorsement by Achebe Campus. You access third-party services at your own risk.

10. Privacy and Data

Your privacy matters to us. Our collection, use, and storage of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

If you are located in the United Kingdom or European Economic Area, your rights under UK GDPR or the EU GDPR also apply, as further described in our Privacy Policy.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ACHEBE CAMPUS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ACHEBE CAMPUS DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY CONTENT ON THE SERVICE IS ACCURATE, COMPLETE, OR RELIABLE; (C) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED; OR (D) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ACHEBE CAMPUS IS NOT RESPONSIBLE FOR THE CONDUCT, CONTENT, OR ACTIONS OF ANY USER, CREATOR, OR MEMBER ON THE PLATFORM.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACHEBE CAMPUS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU HAVE PAID TO ACHEBE CAMPUS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS (£100) OR THE EQUIVALENT IN YOUR LOCAL CURRENCY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Achebe Campus and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of or access to the Service
Your User Content
Your violation of these Terms or any applicable law
Your violation of any rights of a third party
Any dispute between you and another user or creator on the platform

We reserve the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defence of such claims.

14. Termination

14.1 Termination by You You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at support@achebecampus.com. If you are a creator with active paying members, you are responsible for managing any outstanding obligations to those members before closing your account.

14.2 Termination by Us We may suspend or permanently terminate your access to the Service, with or without notice, if:

You breach any provision of these Terms or our community guidelines
We are required to do so by law or legal process
We reasonably believe your use of the Service poses a risk to us, other users, or third parties
Your account has been inactive for an extended period (we will attempt to notify you before doing so)

14.3 Effect of Termination Upon termination:

Your right to access and use the Service will immediately cease
Any outstanding fees owed to us remain due and payable
We may retain certain information as required by law or for legitimate business purposes
Provisions of these Terms that by their nature should survive termination — including ownership, licences granted by you, payment obligations, disclaimers, limitations of liability, and governing law — will remain in full force and effect

15. Dispute Resolution

15.1 Informal Resolution Before initiating any formal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at support@achebecampus.com with a written description of the dispute. We will attempt to resolve the matter within 30 days. If we are unable to resolve the dispute informally, either party may pursue the remedies available under Section 15.2.

15.2 Governing Law and Jurisdiction These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to our right to seek injunctive or other equitable relief in any jurisdiction.

Note for US-based users: Where required by local law, certain disputes may be subject to mandatory arbitration. Please refer to any jurisdiction-specific addendum provided by Achebe Campus.

15.3 Class Action Waiver To the extent permitted by applicable law, you agree that any proceedings to resolve disputes will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

16. General Provisions

16.1 Entire Agreement These Terms, together with our Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and Achebe Campus with respect to the Service and supersede all prior or contemporaneous agreements, communications, and understandings.

16.2 Severability If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 Waiver Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Achebe Campus to be effective.

16.4 Assignment You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets, or by operation of law.

16.5 Force Majeure Achebe Campus shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, riots, fire, natural disaster, infrastructure failure, or government action.

16.6 No Agency Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Achebe Campus.

16.7 Headings Section headings are included for convenience only and shall not affect the interpretation of these Terms.
